Yehuda “Yuli” Ofer was born in Romania and grew up in Israel from an early age. In the 1950s, together with his brother the late Sammy Ofer (1922-2011), he founded Ofer Properties (later known as Ofer Investments) and Mediterranean Routes, the shipping company that eventually expanded its global reach, specializing in fuel and phosphates transport and cruise operations. Mr. Yuli Ofer was a passionate investor in real estate. In 1987, he founded Melisron as part of the Ofer Investment Group, and led Melisron to become one of Israel’s major commercial real estate companies. The Ofer brothers later acquired a controlling interest in Hamizrahi Bank in 1994, and in 1999 acquired control of Israel Corp. After a division of the brothers’ joint holdings in 2002, Mr. Yuli Ofer became the controlling owner of Ofer Investments, which controlled Mizrahi-Tefahot Bank and Melisron, both publically traded on the TASE. Ofer Investments’ current operations include commercial real estate, residential real estate, hotels in Israel and abroad, and holdings in the banking sector. Throughout his life, Mr. Yuli Ofer contributed significantly to the development of the city of Herzliya, where he lived. Mr. Yuli Ofer died on September 11, 2011 at the age of 87 in his Herzliya residence.

At the early age of 20, Liora began working alongside her father Yuli Ofer in Ofer Investments, the company he had founded and headed. In 1995, Liora was appointed head of the Group’s hotel operations in Eilat, and in 2007 became the director and Deputy Chair of the real estate company Melisron. In 2008, Liora Ofer was appointed Board Chair. Ms. Ofer also serves as the Board Chair of Ofer Investments, Melisron’s parent company. Through a series of decisions led by Ms. Ofer, including the acquisition of the Ramat Aviv Mall and the acquisition and merger of 25 malls owned by British Israel, Melisron became one of the largest commercial real estate companies in Israel. Supported by the company’s stability, Ms. Liora Ofer initiated a unique move promoting corporate social responsibility when she announced her intention to limit her management fees and bonuses from the company. Alongside her extensive business endeavors, Ms. Ofer has devoted much energy to volunteer work, carrying on the family tradition and her father’s spirit, and she is active in efforts to reduce socio-economic gaps in Israel and promotes cultural projects in Israel’s towns and cities in the periphery.

Shouky Oren has been serving as an independent director of Melisron since 2018. He is a member of the company’s Audit and Remuneration, Financial Statements, and Hiring Committees. Mr. Oren holds a bachelor’s degree in Economics and a graduate degree in Business Administration. He has numerous years of experience in the financial sector and has held senior executive positions, including CEO of Karden N.V. and manager of Leumi Bank Switzerland. He also served as Accountant General at the Ministry of Finance. In addition to his position as independent director, Mr. Oren is a member of the credit committee of Harel Insurance Company Ltd, the board chair of Mirland Development Plc, and a director of Or Shay G.S. Ltd and of C^2 Communities Services Inc.

Rinat Gazit has been serving as an external director of Melisron since 2016. She heads the Financial Statements Committee and is a member of the company’s Audit and Remuneration and Hiring Committees. Ms. Gazit holds a bachelor’s degree in Political Science, Sociology, and Anthropology, and a graduate degree in Business Administration. Ms. Gazit has extensive experience in the field of finance and investments and has held numerous senior executive positions. In the past she served as head of M&A of Shikun & Binui Group, VP of Poalim Capital Markets, and has held numerous senior executive positions in acquisitions, issuances, and project management in the BSG Group. In addition to her position as external director, Ms. Gazit is also a consultant on M&A issues and serves as a director of Vitania Real Estate Ltd, Alium Medical Ltd, Aeronautics Ltd, Ratio Petroleum Energy LP, Delta Galil Industries Ltd, and others.

Shlomo Zohar has been serving as an external director of the company since 2019. He is a member of the Audit and Remuneration and Financial Statements Committees. Mr. Zohar holds a bachelor’s degree in Economics and a graduate degree in Business Administration with a specialization in finance and accounting. Mr. Zohar has extensive experience in the field of finance and has served in senior executive positions in public companies. Previous positions include CEO of Sufersal Real Estate and Deputy CEO of Sufersal Ltd. He has served as CFO of Sufersal Ltd and of Pelephone Ltd. In addition to his position as external director, Mr. Zohar is also an external director of Silverstein Properties Limited and Pinto Afik 1 Ltd, and a director of, and consultant to, Max Stock Ltd.

Yitzhak Zizov has been serving as a member of Melisron’s board since March 2019. Mr. Zizov is a certified accountant and holds a bachelor’s degree in Business Administration and a graduate degree in Law. Mr. Zizov is an experienced financial manager in the real estate and holdings sector. In the past he has held senior positions including CFO of the investment fund Bayit Vegag, CFO of the public company Energix Renewable Energies Ltd, and several executive positions in the holding company Alony Hetz. In addition to his service as a company director, Mr. Zizov also serves as CFO of Ofer Investments Ltd, the controlling owner of the company, and is a director in privately owned subsidiaries of the Ofer Group.

Roie Azar serves as a director on the Melisron board of directors as of August 2022. In addition to his role as a director in the company, Mr. Azar serves as the VP of Investments at Ofer Investments Ltd. and the Investment Manager of Ofer Capital Ltd., both companies owned by the company’s controlling shareholder. Also, Mr. Azar serves as a director in private companies from the Ofer Investments group.

In the past, Roi Azar served in various management positions at X.T. Holdings Ltd., the last of which was investment manager at X.T.’s venture capital fund. Mr. Azar has extensive experience in mergers and acquisitions, international financing and has financial expertise.

Mr. Azar holds a bachelor’s degree in accounting and economics from the University of Haifa and an MBA from Northwestern University and Tel Aviv University.
